TERMS OF SERVICE

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of Vercite, made available at vercite.io and aibrandtracking.com, together with related applications and services (the "Service"), operated by Vercite AB, reg. no. 559550-9984, Sweden ("Vercite", "we", "us", or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service. If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization.
Business use only. The Service is offered to organizations and business users for purposes related to their trade, business, or profession. It is not directed to consumers, and you represent that you are not using the Service as a consumer.
2. Description of Service
Vercite is a software platform that helps organizations monitor and analyze visibility across AI-powered search and answer platforms. The Service may include AI visibility monitoring, competitor benchmarking, citation analysis, query tracking, topic tracking, sentiment analysis, reporting and analytics, and recommendations and insights.
Features may change over time as described in Section 14.
3. Accounts
You are responsible for maintaining the security of your account, protecting your login credentials, and all activities occurring under your account. You must provide accurate account information and keep it updated.
4. Acceptable Use
You agree not to: violate applicable laws; interfere with or disrupt the Service; attempt unauthorized access; reverse engineer the Service; introduce malicious software; abuse or disrupt third-party providers connected to the Service; resell or make the Service available to third parties except as permitted; or use the Service for unlawful or fraudulent activities.
5. AI Platform Processing
To provide the Service, Vercite submits customer-configured queries, prompts, brand names, competitor names, and related information to third-party AI and search platforms and to third-party service providers. You instruct and authorize Vercite to perform this processing in respect of the configurations you create.
Third-party AI and search platforms operate independently and maintain their own terms, policies, and data practices. Vercite does not control, and makes no representation regarding, AI-generated outputs, platform ranking or citation methodologies, model behavior, or platform data retention or training practices.
Your content. You are responsible for the monitoring inputs you configure. You agree not to include in those inputs any personal data, special categories of personal data, or third-party confidential information. Your configuration and use of the Service must comply with applicable laws.
Platform dependence and continuity. Access to third-party AI and search platforms depends on those platforms and on the service providers we engage, and may be restricted, degraded, or discontinued at any time for reasons outside our control, including changes to a platform's terms, technical measures, pricing, or availability. Where that occurs, we may change the providers or methods we use, substitute or remove affected platforms, metrics, or data sources, or discontinue affected parts of the Service in accordance with Section 14. Such changes do not constitute a defect in the Service and do not give rise to a refund, credit, or claim, except where required by law. We make no representation that any particular platform, metric, or data source will remain available.
6. Visibility Metrics, Analytics, and Third-Party Outputs
The Service generates visibility metrics, rankings, citations, scores, benchmarks, and related analytics based on third-party AI and search platform responses, third-party search behavior, and proprietary Vercite methodologies.
All metrics are estimates and informational in nature. Vercite does not guarantee visibility levels, rankings, mentions, traffic, revenue, or business outcomes.
Third-party generated content. Reports and dashboards may reproduce or summarize content generated by third-party AI and search platforms, including statements that reference brands, competitors, or other third parties. Such content is generated by third parties, is presented for monitoring and analytical purposes only, may be inaccurate or incomplete, and does not represent the views of Vercite. Vercite does not verify, endorse, or adopt such content.
Your use of third-party content. Rights in content generated by, or reproduced from, third-party AI and search platforms and the sources they cite belong to the relevant third parties. Your right to use the Service does not grant you rights in such third-party content beyond viewing and using it within the Service for your internal business purposes. You are responsible for your own further use, publication, or distribution of that content, including obtaining any permissions required. You must not represent that Vercite is affiliated with, endorsed by, or acting on behalf of any AI or search platform.
7. Subscription and Billing
Access to portions of the Service may require a paid subscription, offered on monthly or annual terms. Unless otherwise stated: fees are billed in advance; subscriptions automatically renew; you may cancel future renewals at any time, effective at the end of the then-current term; and fees already paid are non-refundable except where required by law. You are responsible for applicable taxes.
Consumers. If, notwithstanding Section 1, you enter into these Terms as a consumer, nothing in these Terms limits or excludes your statutory rights, and any term in these Terms that conflicts with those rights does not apply to you. This includes your right of withdrawal within fourteen (14) days under the Swedish Distance Contracts Act (lag 2005:59 om distansavtal och avtal utanför affärslokaler). Where you ask us to begin providing the Service during that period, you consent to performance beginning immediately and acknowledge that your right of withdrawal is lost once the Service has been fully performed; if the Service has been only partly performed, you may be charged proportionately for what has been provided.
8. Data Protection
Each party will comply with applicable data protection laws, including the GDPR. Our processing of personal data is described in our Privacy Policy, and our use of cookies and similar technologies is described in our Cookie Policy. Where the parties have agreed in writing that you may submit personal data for processing (see Section 5), you act as controller and Vercite as processor, and that processing is governed by a Data Processing Agreement entered into between the parties. In the event of a conflict between these Terms and the DPA in relation to the processing of personal data, the DPA prevails.
9. Intellectual Property and License to Data
The Service, including software, designs, reports, interfaces, algorithms, and content created by Vercite, is owned by Vercite or its licensors. These Terms do not transfer ownership of the Service to you.
You retain ownership of the data and content you submit to the Service ("Customer Data"). You grant Vercite a non-exclusive, worldwide, royalty-free license to host, process, and use Customer Data: (a) to provide, maintain, secure, and support the Service; and (b) in anonymized form, to develop and improve the Service and to produce benchmarks, research, and market insights. This Section 9 governs Vercite's rights to use Customer Data; the Privacy Policy describes how personal data is handled, and the DPA governs personal data processed on your behalf.
Research and publications. Notwithstanding paragraph (b) above and Section 10, you grant Vercite the right to identify your brands by name in research, studies, benchmarks, rankings, reports, articles, and other publications and communications that Vercite produces, and to include metrics, findings, and observations derived from monitoring data relating to those brands.
In exercising that right, Vercite will not: disclose your monitoring configurations, prompts, queries, account data, pricing, or other information that is confidential under Section 10; identify any individual; or present findings in a manner that is misleading or that denigrates you. Vercite will describe the methodology and the estimated nature of the metrics, consistent with Section 6.
You may withdraw this permission at any time by written notice to support@vercite.io. Withdrawal takes effect for outputs published after we receive the notice and does not require Vercite to alter or remove outputs already published.
10. Confidentiality
Both parties agree to protect confidential information received from the other and to use it only for purposes related to the Service. This obligation does not apply to information that is publicly available, was already known, is independently developed, or must be disclosed by law.
11. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Vercite disclaims all warranties, including those relating to accuracy, reliability, availability, merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the Service will be uninterrupted or error-free or that any data or output obtained through the Service will be accurate or complete.
12. Limitation of Liability
To the fullest extent permitted by law, Vercite shall not be liable for indirect, consequential, special, or incidental damages, or for lost profits, lost revenue, lost business opportunities, loss of data, or loss of goodwill.
Subject to the following paragraph, Vercite's total aggregate liability arising out of or relating to the Service shall not exceed the fees paid by the customer during the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law. To the extent any liability cannot lawfully be excluded or limited, the exclusions and cap above do not apply to it.
13. Indemnification
You agree to indemnify and hold harmless Vercite, its officers, employees, contractors, and affiliates from and against third-party claims arising from your use of the Service, the monitoring inputs and Customer Data you submit, your publication or distribution outside the Service of content obtained through it, your violation of these Terms, or your violation of applicable laws.
Vercite will defend you against any third-party claim alleging that the Service, as provided by Vercite and used in accordance with these Terms, infringes that third party's intellectual property rights, and will indemnify you for amounts finally awarded, up to the amount of fees paid by you in the twelve (12) months preceding the claim, and except to the extent the claim arises from Customer Data, your configurations, your breach of these Terms or applicable law, or combination of the Service with materials not provided by Vercite. This is your exclusive remedy for any infringement claim. Vercite may at its option modify the Service to be non-infringing, or terminate the affected part of the Service and refund prepaid unused fees. Amounts payable under this Section count toward, and do not increase, the aggregate cap in Section 12.
14. Changes to the Service
We may modify, replace, suspend, or discontinue portions of the Service at any time. We do not guarantee uninterrupted availability.
15. Data Portability and Service Switching
In accordance with applicable law, including the EU Data Act where it applies, you may retrieve Customer Data and switch away from the Service:
- Export. On request during the term, and for thirty (30) days following termination, we will provide Customer Data associated with your account in a commonly used, machine-readable format.
- Switching. Where the EU Data Act applies, you may terminate and switch away on notice of no more than two (2) months, followed by a transitional period of thirty (30) days during which we will provide reasonable assistance to support an orderly transition to you or to another provider. We will not impose pre-commercial obstacles to switching.
- Deletion. Following completion of switching, or at the end of the periods described above, we will delete remaining Customer Data except where retention is required by law.
We may charge reasonable, cost-based fees for switching assistance only to the extent permitted by applicable law.
16. Suspension and Termination
We may suspend or terminate access to the Service if you violate these Terms, where required by law, or where necessary to protect the Service, customers, or third-party providers. You may stop using the Service at any time.
17. Changes to these Terms
We may update these Terms from time to time. For changes that materially affect your rights or obligations, we will provide notice through the Service or by email before the changes take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
18. Governing Law and Jurisdiction
These Terms are governed by the laws of Sweden. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the Swedish courts.
19. Force Majeure
Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including failures or changes in third-party AI and search platforms, network or hosting outages, acts of government, or industrial action. This does not excuse payment obligations.
20. General
If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
